Legal service in foreign investments
- Assisting foreign merchants in collecting and analyzing relevant business information, designing investment plans, seeking investment opportunities and partners, planning investment structure and performing prudence investigation
- Providing a legal consultation in Chinese laws on issues arising from direct foreign investments, including investment forms, shareholding structure, capital contribution methods, the design of management structure of a company, land use, foreign exchanges, taxation (including a plan of taxation and strategies for retreating), transfer of technologies, the license for patents and trademarks, the protection of intellectual property rights, customs procedures, labour and capital for imports and exports of equipment and products and human resources, shareholding transfer and the regroupment and liquidation of a company
- Establishment of joint ventures, cooperation enterprises, wholly foreign-owned enterprises, resident offices or entities in any other form; participating in negotiations at all stages of a foreign investment project and drafting and revising legal documentation in relation to direct foreign investments, including without limitation letters of intent for investment, joint venture or cooperation contracts, the articles of association, technology transfer contracts, patent or trademark license contracts, land use contracts, labour contracts and resolutions of the board of directors.
- Assisting clients to obtain from relevant Chinese government departments all ratification and registration procedures for foreign investment projects
- Relevant assistance in prosecution and arbitration
- Providing a continuing legal service to enterprises with foreign investment
